VisibleWeb - Software Licence

Please read this document carefully before using the software.

TERMS AND CONDITIONS OF USE

This agreement licences the use of this version of VisibleWeb to you. This agreement contains warranty and liability disclaimers. Your download and use of VisibleWeb constitutes your acceptance of these terms and conditions. If you do not agree with these terms, promptly delete and permanently erase VisibleWeb from your computer and from all computer storage devices fixed and transportable to which VisibleWeb may have been copied.

Definitions

1. VisibleWeb means the software programs, the documentation, example files and related updates supplied as part of the VisibleWeb Product.
2. WhyWaitForever means the company that owns, makes and supplies VisibleWeb.
3. Download means the process of obtaining VisibleWeb by ANY means including the electronic transmission across a public or private computer and telecommunications network and the installation from a transportable computer storage media such as a diskette or larger capacity devices.

Licence

This Agreement, subject to the payment of a licence fee and subject to the terms and conditions set out in this document allows you to:

1. Usage:

   Download and use VisibleWeb on a single computer.

2. Single Copy:

   Make one copy of VisibleWeb in machine-readable form solely for backup purposes. You must reproduce on any such copy all copyright notices and any other proprietary legends which are incorporated as part of the original copy of theVisibleWeb Product.

3. Fees and Charges:

   These are set out in a separate schedule.

4. Supplementary Licences:

   Certain copies of the VisibleWeb Product are licenced with additional rights. Certain rights are not granted under this Agreement, but may be available under a separate agreement. If you would like to enter into a separate agreement for one or more of the Supplementary Licences listed below, contact WhyWaitForever.

• Site Licence:

  You must enter into a WhyWaitForever Site Agreement if you wish to make copies of the WhyWaitForever Product for use with additional computers owned by you.

• Computer Network Site Licence:

  You must enter into a WhyWaitForever Computer Network Site Agreement if you wish to make copies of the VisibleWeb Product for use by a defined number of users who use a group of computers networked together.

• Distribution Licence:

  You must enter into a WhyWaitForever Distribution Agreement if you wish to copy and distribute a product which incorporates the VisibleWeb Product in whole or in part.

• Remote Access Site Licence:

  You must enter into a WhyWaitForever Remote Access Site Agreement if you wish to grant access (viz in the various forms known as web server side services) to VisibleWeb to computer users through an intranet or the Internet.

5. Restrictions:

   You may not make or distribute copies of the VisibleWeb Product, or electronically transfer the VisibleWeb Product from one computer to another or over a network unless specific authority so to do is received from WhyWaitForever. You may not decompile, reverse engineer, disassemble, or otherwise reduce the VisibleWeb Product to a human-perceivable form. You may not modify, rent, resell for profit, distribute or create derivative works based upon VisibleWeb or any part thereof. You will not export or reexport, directly or indirectly, VisibleWeb into any country prohibited by United Kingdom legislation.

6. Ownership:

   This licence grants you limited rights to download and use VisibleWeb. You do not become the owner of, and WhyWaitForever retains title to, the VisibleWeb Product, and all copies thereof. All rights not specifically granted in this Agreement are reserved by WhyWaitForever.

7. Warranty:

   No oral or written information or advice given by WhyWaitForever, its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of this warranty. WhyWaitForever shall not be liable for any indirect, special, incidental or consequential damages for loss of business, loss of profits, or the like, whether based on breach of contract, tort (including negligence), product liability or otherwise, even if WhyWaitForever or its representatives have been advised of the possibility of such damages and even if a remedy set forth by WhyWaitForever, its dealers, distributors, agents or employees is found to have failed in respect of its essential purpose.

   You understand that VisibleWeb is provided "AS IS" with no implied warrenties whether of merchantability, fitness for any particular purpose, non-infringement or otherwise.

8. Jurisdiction:

   This Agreement shall be governed by the internal laws of the United Kingdom of Great Britain and Northern Ireland. This Agreement contains the complete agreement between the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. All questions concerning this Agreement shall be directed to WhyWaitForever.

9. Ownership and Copyright Notice:

   VisibleWeb is made in the UK by WhyWaitForever. WhyWaitForever is a privately owned business based in Broxbourne, Hertfordshire, England, UK.
